Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Flocelo website located at flocelo.com (the “Site”) and your purchase and use of Flocelo’s digital Notion templates (the “Products”). By accessing the Site or purchasing a Product, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase the Products.

1) Who We Are

  • Age Restrictions: The Site is intended for individuals aged 13+. By purchasing, you represent you are 18+ or have valid parental/guardian consent.

2) Products & Technical Requirements

  • Flocelo sells digital templates for Notion. You are responsible for having a valid Notion account and the basic knowledge to use Notion.
  • Notion Plan Dependencies. Some features may require specific Notion plans (e.g., Plus/Business/Enterprise) for native charts, advanced permissions, automations, etc. Lack of a required Notion plan is not a defect and is not grounds for a refund.
  • As-Is Purchase Decision. Products are sold as-is. Review descriptions, features, languages, screenshots, and previews before buying. Completing the purchase means you are satisfied with the Product as described.
  • No Affiliation. “Notion” and related marks are trademarks of Notion Labs, Inc. Flocelo is not affiliated with Notion.
  • No Redistribution. Products may not be redistributed, shared, or resold without prior written consent. Licenses labeled “Teams” allow sharing only within the purchasing organization and only up to the number of seats purchased.

3) Acceptable Use & User Conduct

You agree not to (a) copy, distribute, or modify Site content without permission; (b) attempt to extract confidential components of Products; (c) publish unlawful, defamatory, or abusive content. Flocelo may remove inappropriate content (e.g., reviews/comments) at its discretion.

4) Pricing, Payments, Taxes & Currency

  • Payments are processed by LemonSqueezy or Gumroad (and may include PayPal) using supported cards.
  • Prices are listed in USD. Applicable taxes (including VAT) may be added automatically based on your location. Bank/FX fees are your responsibility.
  • Flocelo may correct pricing or typographical errors and cancel/refund orders placed at incorrect prices.

5) Delivery & Access (Digital Supply)

  • Delivery occurs by providing a duplication link or download link to your checkout email (or via the order confirmation page).
  • Delivery is deemed complete when Flocelo makes the link available and systems record the event (timestamp/IP/logs). You are responsible for using a valid email and accessing the link promptly.

6) Refunds (All Sales Final)

  • All Sales Final. Due to the immediate and irreversible nature of digital goods, no refunds are offered for dislike, buyer’s remorse, misunderstanding of features, language preferences, or Notion plan limitations.
  • Limited Exceptions (at Flocelo’s discretion):
    • Duplicate purchase of the same Product (refund of the duplicate only);
    • Verified fraudulent charge;
    • Documented technical impossibility of access within 7 days of purchase, after you cooperate with Support (provide screenshots, error details, and—if requested—temporary Notion guest access for diagnosis).
  • Where eligible, Flocelo may provide a replacement or store credit as an alternative to refund.

7) Chargebacks & Payment Disputes

  • You agree to contact Support first to attempt resolution before initiating a chargeback.
  • Flocelo may dispute chargebacks and may suspend or revoke licenses/access during any unresolved chargeback or PayPal dispute. If a chargeback is resolved against you, access may remain suspended until payment is restored.

8) Immediate Supply & Withdrawal Waiver (EU/UK)

By placing an order, you request and consent to immediate supply of digital content and acknowledge that you lose any statutory right of withdrawal/cancellation once delivery begins, including under EU/UK digital content rules (e.g., Directive (EU) 2019/770 and Directive 2011/83/EU, as implemented locally).

9) Acknowledgment of Purchase Terms

By completing your purchase, you explicitly confirm that:

  • (a) You are buying a digital product with instant access and all sales are final;
  • (b) You have reviewed the description and previews and confirm suitability;
  • (c) You have read and accept the No-Refund Policy and these Terms.

10) License Grant (Individual/Teams) & Restrictions

License. Upon purchase, Flocelo grants you a non-exclusive, non-transferable, perpetual license to use the Product for your personal or internal business purposes.

Seats. An Individual license is for one natural person. A Teams license permits use by up to the number of seats purchased within the same legal entity.

Prohibited Uses. You may not:

  • (i) resell, redistribute, share outside the licensed seats, or sublicense;
  • (ii) claim the design as your own;
  • (iii) use the Product to create templates for sale or free distribution that compete with Flocelo;
  • (iv) publish the template (or derivatives) as a public asset for others to duplicate, beyond your licensed users;
  • (v) use the Product or its components to train artificial intelligence models or for machine learning purposes.

Compliance Checks. Flocelo may reasonably request information to verify license compliance.

11) Support, Updates & Upgrades

Support Scope. Support is provided via email with a target response time of 1–2 business days, excluding weekends and public holidays. Reasonable support covers installation/duplication issues and bug fixes in the current version for 30 days from purchase.

Exclusions. Support does not include customizations, training, coaching, or issues caused by Notion, other third parties, or user misconfiguration.

Updates. Minor fixes or improvements may be offered at Flocelo’s discretion. Major upgrades/new products are not included unless expressly stated.

12) Third-Party Services & Changes (Notion)

Products may rely on Notion or other third-party services. Changes, limitations, outages, or regional restrictions of those services do not constitute a defect and are not grounds for a refund.

13) Intellectual Property; DMCA/Copyright Claims

All designs, logos, trademarks, and content on the Site and in the Products are the property of Flocelo or its licensors. If you believe content infringes your rights, send a notice to flocelonotion@gmail.com with: your contact info, description of the work, the allegedly infringing material URL/ID, a good-faith statement, and a statement under penalty of perjury that you are authorized to act.

14) Third-Party Links

The Site may contain links to third-party platforms (e.g., Instagram, X/Twitter, Facebook). Flocelo is not responsible for their content, policies, or practices.

15) Email Communications

By purchasing, you agree to receive transactional and promotional emails (including newsletters). You may unsubscribe from marketing at any time; transactional emails will still be sent.

16) Termination & Suspension

Flocelo may suspend or terminate access/licenses for material breach of these Terms (including IP infringement or unauthorized sharing). No refunds upon termination for breach. Upon termination, you must stop using and delete the Product from non-backup systems.

17) Disclaimers

Products and the Site are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. You are responsible for the selection and use of the Products to achieve your intended results.

18) Limitation of Liability

To the maximum extent permitted by law, Flocelo’s total liability for any claim arising out of or relating to these Terms or the Products is limited to the amount you paid for the Product during the 12 months preceding the claim. Flocelo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill.

19) Governing Law; Arbitration; Class-Action Waiver; Small-Claims

  • Governing Law. These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.
  • Arbitration. Any dispute arising from or relating to these Terms or the Products shall be resolved by final and binding arbitration in Miami-Dade County, Florida, administered by the AAA (or JAMS if AAA is unavailable).
  • Class Waiver. Class and representative actions are waived.
  • Small-Claims Carve-Out. Either party may bring an individual claim in a court of competent jurisdiction for small claims.
  • Opt-Out. You may opt out of arbitration by sending written notice to flocelonotion@gmail.com within 30 days of your first purchase.

20) Consumer Law Savings; Language

Nothing in these Terms limits any non-waivable consumer rights under applicable law. If these Terms are translated, the English version controls in case of conflict.

21) Privacy

Please review our Privacy Policy (linked on the Site) to understand how we collect and process personal data in connection with the Site and Products.

22) Force Majeure

Flocelo is not liable for delay or failure to perform due to events beyond reasonable control (e.g., outages, natural disasters, war, labor disputes, government actions).

23) Accessibility

Flocelo strives to make the Site and Products accessible to individuals with disabilities. However, due to the dynamic nature of the web and the complexity of third-party platforms like Notion, we cannot guarantee that all features will be fully compatible with all assistive technologies. 24) Assignment; Severability; Entire Agreement; Notices; Changes

  • You may not assign these Terms without Flocelo’s prior written consent; Flocelo may assign to an affiliate or in connection with a merger/asset transfer.
  • If any provision is held invalid, the remainder stays in effect.
  • These Terms constitute the entire agreement regarding the Site/Products.
  • Notices to you may be provided via email or Site posting.
  • Flocelo may update these Terms at any time; changes are effective upon posting with an updated date.
